The UK Corporate Governance Code applies to all companies with a premium listing of equity shares but relevant provisions are generally adopted by smaller companies, housing associations, building societies and other mutual organisations as well as charities. Its purpose is to facilitate effective, entrepreneurial and prudent management that can deliver long term success for the firm. 

The Code requires that the Board should undertake a formal and rigorous annual evaluation of its own performance and that of its committees and individual directors and organisations covered by the Code should be externally facilitated at least every three years.

For smaller companies, including firms owned and controlled by single individuals or families, guidance is provided by the Institute of Directors’ Corporate Governance Guidance and Principles for Unlisted Companies in the UK.  Rather than requiring compliance with formal rules and regulations, it establishes a framework of company processes and attitudes that add value to the business, help build its reputation and ensure its long-term continuity and success.

An effective governance framework defines roles, responsibilities and an agreed distribution of power amongst shareholders, the Board, management and other stakeholders.
